Board of Directors Opening: Secretary of the Board (Volunteer position)

We are excited to open the opportunity to welcome a new member to the Board of Directors, a Secretary of the Board. This volunteer role begins October 1, 2025 and involves a one-to-three-year commitment.

Key Responsibilities
General Board Duties
Lead and engage in volunteer committees that align with your experience and expertise.
Provide input to the development of BEC strategies and policies.
Support operational activities as may be required.
Assess, review, and advise on organizational risks.
Champion the organization’s interests and advocate on behalf of the organization and its members.
Represent the organization when required for growth and efficiency.
Collaborate with other members of the Board as a team.
Secretary-Specific Duties
Attend and be the secretary of regular meetings (currently bi-monthly) of the Board of Directors.
Attend and be the secretary of the Annual General Meeting of Members.
Participate in the Governance committee as an ex-officio member.
Be accountable for the minutes of all proceedings at said meetings.
Be the custodian of all books, papers, records, documents and other instruments belonging to Black Engineers of Canada.
Record any votes and motions taken during board meetings.
Distribute necessary background information and reports along with agenda items in advance of meetings.
File the approved minutes and maintain the official list of board members.
Ensure that all notices are duly given in accordance with the provisions of the bylaws or as required.
Time Commitment
Estimated at 10–15 hours per week, including committee, Board and AGM attendance.
What We are Looking For
Required
Understand and appreciate the need for equity for socio-economic advancement.
Secretary, governance, and administration experience.
Experience in board or applicable leadership roles.
Experience working for a non-for-profit organization, favourably a startup.
Resides in any province within Canada and can participate in virtual events.
Preferred
Bilingual in English and French.
